互联网企业并购动因与绩效分析——以阿里巴巴收购饿了么为例


摘 要
 
互联网作为我国近年来重点发展行业,其发展速度惊人,众多互联网巨头公司在一开始就占领了大量的市场。为了不断增加自身的业务范围,许多企业选择了并购的方式进入新的行业,利用并购突破行业壁垒。并购活动的增多使得各方学者也逐步开始研究互联网企业并购的动机和原因,以及企业并购是否达成了预期目标。
 
本文选取阿里巴巴并购饿了么的案例作为分析对象,从并购双方基本情况出发对该并购案例进行并购动因分析以及绩效分析,利用平衡计分卡绩效评价方法通过财务、客户、内部流程、学习与成长四个维度对该并购事件进行全面的分析和总结,最后,结合本案例对相关企业并购事件提供一些借鉴意义。

Abstract
 
Internet, as a key industry in recent years in China, has been developing at an astonishing speed.Many internet giant companies have occupied a large number of markets at the beginning.In order to constantly increase their business scope,many enterprises choose the way of M & A to enter new industries, using M & A to break through industry barriers. With the increase of M & A activities,Scholars Begin to study the motives and reasons of M & A of Internet enterprises, and whether M & A has achieved the expected goal.
 
This paper selects the case of Alibaba's merger and acquisition of Ele.me as the analysis object, analyzes the motivation and performance of the merger and acquisition case from the basic situation of both sides,and makes a comprehensive analysis and summary of the merger and acquisition event through four dimensions of finance, customer, internal process, learning and growth by using the Balanced Scorecard performance evaluation method. Finally, combined with this case,it provides some reference significance for related corporate mergers and acquisitions.
