敬业精神在公司法中的体现

摘 要


勤勉义务是敬业精神在《公司法》中的具体体现。但由于规定简略,存在诸多法律漏洞,需要通过法律解释完善。从文义解释来看,勤勉义务相比于注意义务更能体现法律对董事勤恳、谨慎履职之要求,因此在我国语境下,不可混淆两者概念。从敬业角度分析,我国立法采取的以结果为导向,以违法为标准的单一判断模式存在不足,应转变为从敬业角度审查公司董事的勤勉履职情况,并区分不同性质的董事进行灵活判断。对于董事赔偿责任过于严苛问题,我国应当引入侵权、章程自治、商业判断规则等免责条款减轻董事责任,以此来构建符合中国特色社会主义的勤勉义务追责体系。

ABSTRACT

The duty of diligence is the embodiment of professional ethics in the Company Law.However, due to the simplicity of the provisions,there are legal loopholes, so it should be perfected through legal interpretation. From the perspective of interpretation,compared with the duty of care ,the duty of diligence can better reflect the requirements of the law for directors to perform their duties diligently and carefully. Therefore, in the context of Our country, the two concepts should not be confused.From the perspective of delication,It is difficult to deal with the problems existing in judicial practice that our legislation is result-oriented and the illegality is the criterion of judgment. Our country should examine the diligent performance of company directors from the Angle of dedication, and different types of directors have different criteria. For directors' compensation liability is too strict, China should introduce tort,autonomy of articles of association, commercial judgment rules to reduce directors' responsibilities. In this way, we can construct the duty of deligence accountabilitysystem in line with socialism with Chinese characteristics.
