| 论我国公司人格外部逆向否认制度之构建
摘要
我国当前公司法人格否认制度不能很好地解决司法实务中遇到的问题，且现存制度都存在一定弊端，因此建立公司人格外部逆向否认制度十分必要。构建公司人格外部逆向否认制度，需要精准把握主体要件、行为要件、主观要件以及结果要件。在制度构建过程中，为使各方利益得到平衡，应当设置债权申报制度以保护公司债权人；善意股东则通过股东代表诉讼弥补自己的损失。

The current system of corporate personality denial in China can not solve the problems encountered in judicial practice, and the existing system has some drawbacks,so it is necessary to establish the external reverse denial system of corporate personality. It is necessary to accurately grasp the subject, behavior,subjective and result elements to construct the external reverse denial system of company personality. In the process of system construction,in order to balance the interests of all parties, the creditor's rights declaration system should be set up to protect the creditors of the company, and the bona fide shareholders should make up for their losses through the litigation of shareholders' representatives.
