| 浅析双层股权结构在上市公司中的利益平衡问题 【摘要】本文通过采用案例分析法、文献研究法和归纳分析法等研究方法，以中国A股市场首家双层股权结构上市的优刻得股份公司为例，旨在研究该结构产生的利益冲突问题并提出相应的解决策略。本文认为，随着资本市场对双层股权结构的态度逐渐转变，其作为一种新型股权结构形式，虽然依据自身对控制权的维护、对人力资本的重视、满足股东异质化需求等特点受到了市场的青睐，但目前解决创始人与股东的利益冲突问题的紧迫性是不可忽视的。 【关键词】双层股权结构；利益冲突；平衡策略 Abstract：By using the methods of case analysis,Literature Research and inductive analysis,this paper takes Youkede Company,the first listed company with two-tier shareholding structure in Chinese a-share market, as an example, the aim of this paper is to study the conflict of interest and propose the corresponding solution strategy. This paper holds that as the attitude of the capital market towards the dual-class equity structure has gradually changed, as a new form of equity structure,although it is favored by the market according to its own characteristics of maintaining control rights,attaching importance to human capital and meeting the heterogeneous needs of shareholders, but at present, the urgency of solving the conflict of interests between the founders and shareholders can not be ignored.
