| 企业并购融资研究 摘 要：摘要: 在市场经济背景下，越来越多的企业选择通过并购迅速扩张，谋求自身发展。并购逐渐成为企业深化改革、调整经济结构、盘活存量资产的主要手段。企业并购的成功与否，资金问题已经成为一个瓶颈，不同的融资方式、融资金额、成本、风险以及融资渠道的畅通程度在一定程度上决定了企业并购活动的有效性，甚至最终能否成功。与西方国家相比，我国对并购融资的研究还处于起步阶段。由于国内资本市场发育不完善，金融体系不健全，对并购融资的研究大多集中在外部融资环境的发展上，目前将并购融资作为企业行为的研究还远远不够。因此，研究我国企业并购活动的运行机制和并购融资情况，借鉴发达国家的经验，探索适合我国企业的并购融资模式是十分必要的。本文主要总结了西方企业并购的融资方式，分析了西方企业并购融资的发展趋势，探讨了决定企业并购融资的因素及其对企业融资的影响，从而选择正确的并购融资方式，制定合理的并购融资计划。同时，本文详细分析了现阶段我国并购融资方式存在的问题和现实障碍，同时，本文详细分析了现阶段我国并购融资模式存在的问题和现实障碍，并在此基础上提出了完善我国并购融资模式的建议。 关键词：企业并购; 融资方式;并购贷款;并购基金 Abstract：Under the background of market economy,more and more enterprises choose to expand rapidly through mergers and acquisitions to seek their own development. M & A has gradually become the main means for enterprises to deepen reform, adjust economic structure and revitalize stock assets. Whether M & A is successful or not, the capital problem has become a bottleneck.Different financing methods, financing amount, cost,risk and smooth financing channels all determine the effectiveness of M & A activities to a certain extent, and even the final success. Compared with western countries, the research on M & A financing in China is still in its infancy.Due to the imperfect development of domestic capital market and financial system,the research on M & A financing mostly focuses on the development of external financing environment. At present, the research on M & A financing as enterprise behavior is far from enough.Therefore, it is very necessary to study the operation mechanism and financingsituation of M & A activities in China,learn from the experience of developed countries, and explore the M & A financing mode suitable for Chinese enterprises. This paper mainly summarizes the financing methods of M & A in the west,analyzes the development trend of M & A financing in the west,discusses the factors that determine the financing of M & A and its influence on the financing of enterprises, so as to choose the right financing methods and make a reasonable financing plan. At the same time, this paper analyzes the existing problems and practical obstacles of M & A financing mode in China at the present stage,and puts forward some suggestions to improve the financing mode of M & A in China.
